1. Acceptance of Terms
By downloading, installing, or using KisoStats ("Software") provided by KyotoTech LLC (合同会社KyotoTech) ("Company," "we," "us," or "our"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must immediately uninstall the Software and cease all use.
These Terms constitute a legally binding agreement between you and KyotoTech LLC. Your use of the Software constitutes your acceptance of these Terms in their entirety, including all disclaimers, limitations of liability, and waivers contained herein.
If you are accepting these Terms on behalf of an organization or entity, you represent and warrant that you have the authority to bind that organization to these Terms.
2. Definitions
- "Software" means the KisoStats application for macOS, including all executable code, resources, documentation, and any updates or patches provided by KyotoTech LLC.
- "System Monitoring" means the functionality that displays CPU usage, memory (RAM) usage, disk (SSD) usage, and network transfer speeds.
- "Disk Cleanup" means the functionality that scans for and permanently deletes files from specified categories, including but not limited to user cache files, log files, downloads older than 30 days, Trash contents, and Xcode DerivedData.
- "User Data" means any files, folders, documents, or data stored on the User's computer that may be affected by the Disk Cleanup functionality.
- "Menu Bar" means the macOS system menu bar where the Software displays system metrics.
3. License Grant & Restrictions
License Grant
KyotoTech LLC grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the Software on any macOS computer that you own or control, solely for personal or internal business purposes, subject to these Terms.
Free of Charge
The Software is provided free of charge. No payment is required for download, installation, or use. The absence of a fee does not diminish the applicability of these Terms, including all disclaimers and limitations of liability.
Restrictions
You may not:
- Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software, except as expressly permitted by applicable law
- Modify, alter, adapt, translate, or create derivative works based on the Software
- Remove, alter, or obscure any copyright notices, trademarks, or proprietary markings in the Software
- Sublicense, rent, lease, sell, distribute, or otherwise transfer the Software or your rights under this license to any third party
- Redistribute the Software through any channel, website, app store, or distribution platform without prior written authorization from KyotoTech LLC
- Use the Software to build a competing product or service
- Use the Software in any manner that violates applicable laws or regulations
- Circumvent, disable, or interfere with any security or access control mechanisms of the Software
4. Data & Privacy
No Data Collection
The Software does not collect, transmit, store, or process any personal data, usage data, analytics, telemetry, or diagnostics. The Software does not make any network requests, does not communicate with any server, and does not contain any tracking or analytics functionality.
Local Processing Only
All system monitoring data (CPU, RAM, SSD, network metrics) is read from macOS system APIs and displayed locally. No data is stored persistently by the Software beyond the application's runtime.
No Accounts
The Software does not require or support user accounts, registration, login, or any form of authentication.
System Permissions
The Software may request the following macOS permissions:
- Automation (Apple Events): Required to empty Trash via Finder. You may deny this permission, in which case the Trash cleanup category will not function.
- Login Items: Required for the optional auto-start feature. You may disable this at any time.
You are solely responsible for managing system permissions granted to the Software.
Privacy Policy
Our Privacy Policy provides additional details regarding data handling and is incorporated into these Terms by reference.
5. Disk Cleanup & Data Deletion
CRITICAL WARNING: THE DISK CLEANUP FUNCTIONALITY PERMANENTLY AND IRREVERSIBLY DELETES FILES FROM YOUR COMPUTER. DELETED FILES CANNOT BE RECOVERED. YOU USE THIS FUNCTIONALITY ENTIRELY AT YOUR OWN RISK.
Nature of Disk Cleanup
The Disk Cleanup functionality scans specified directories on your computer and permanently deletes files matching certain criteria. The following categories of files may be deleted:
- User Cache (
~/Library/Caches): Application cache files that may include locally cached data, preferences, or temporary application state
- Log Files (
~/Library/Logs): System and application log files that may contain diagnostic information
- Downloads (
~/Downloads): Files older than 30 days in your Downloads folder, which may include documents, installers, archives, or any other downloaded content
- Trash (
~/.Trash): All files currently in the macOS Trash, which are permanently removed
- Xcode DerivedData (
~/Library/Developer/Xcode/DerivedData): Xcode build artifacts, indexes, and intermediate build products
IMPORTANT: ONCE FILES ARE DELETED BY THE DISK CLEANUP FUNCTIONALITY, THEY ARE PERMANENTLY AND IRRECOVERABLY DESTROYED. KYOTOTECH LLC HAS NO ABILITY TO RECOVER DELETED FILES. THERE IS NO UNDO FUNCTION.
User Responsibility
You are solely and exclusively responsible for:
- Reviewing and understanding which file categories are selected for cleanup before initiating any cleanup operation
- Maintaining complete and current backups of all important data before using the Disk Cleanup functionality
- Verifying that no important files exist in the directories targeted by the Disk Cleanup functionality
- Deselecting any cleanup categories that contain files you wish to preserve
- Any and all consequences resulting from the deletion of files by the Disk Cleanup functionality
No Guarantee of Selectivity
While the Disk Cleanup functionality is designed to target specific file categories, KyotoTech LLC does not guarantee that only intended files will be affected. The Software may delete files that you consider important, valuable, or irreplaceable. File categorization is based on directory paths and file age criteria and may not distinguish between critical and non-critical files within targeted directories.
Assumption of Risk
By using the Disk Cleanup functionality, you expressly acknowledge and agree that:
- You have been warned that file deletion is permanent and irreversible
- You assume all risk associated with the deletion of files
- You waive any and all claims against KyotoTech LLC related to data loss caused by the Disk Cleanup functionality
- You have had the opportunity to review which categories will be cleaned before initiating cleanup
- KyotoTech LLC bears no responsibility for any data loss, regardless of the cause, nature, or extent of such loss
6. System Monitoring
Accuracy of Metrics
The system monitoring functionality displays metrics obtained from macOS system APIs. KyotoTech LLC does not guarantee the accuracy, completeness, timeliness, or reliability of any displayed metrics, including but not limited to CPU usage, memory usage, disk usage, or network transfer speeds.
Not a Diagnostic Tool
The Software is intended for informational purposes only and is not a professional diagnostic, system administration, or performance analysis tool. You should not rely solely on the Software's metrics for critical system decisions, capacity planning, or performance troubleshooting.
No Alerts or Thresholds
The Software does not provide alerts, notifications, or warnings when system metrics reach critical levels. KyotoTech LLC is not responsible for any damage resulting from system conditions that were displayed or not displayed by the Software.
7. Acceptable Use
You agree not to:
- Use the Software in violation of any applicable law or regulation
- Use the Software in any environment where failure could lead to death, personal injury, or severe physical or environmental damage (e.g., nuclear facilities, air traffic control, medical life support systems)
- Redistribute, sublicense, or make the Software available to unauthorized third parties
- Use the Software to build a competing product or service
- Remove or modify copyright notices, attributions, or proprietary markings
- Attempt to gain unauthorized access to system resources beyond those required for the Software's stated functionality
- Use the Software to intentionally damage or interfere with computer systems, data, or networks
Violation of these terms may result in immediate termination of your license.
8. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
To the fullest extent permitted by applicable law, KyotoTech LLC expressly disclaims all warranties, representations, and conditions, including but not limited to:
- Merchantability — we do not warrant that the Software will meet your requirements or expectations
- Fitness for a particular purpose — we do not warrant that the Software is suitable for any specific use case, system environment, or purpose
- Accuracy — we do not warrant the accuracy, completeness, or reliability of any system metrics, measurements, or calculations displayed by the Software
- Availability — we do not warrant uninterrupted, timely, or error-free operation of the Software
- Compatibility — we do not warrant compatibility with all macOS versions, hardware configurations, system extensions, or third-party software
- Data integrity — we do not warrant that the Disk Cleanup functionality will correctly identify, categorize, or selectively delete files, or that your data will be preserved
- Security — we do not warrant that the Software is free from defects, bugs, errors, or vulnerabilities
- Harmlessness — we do not warrant that the Software will not cause damage to your system, data, files, or any other software or hardware
You expressly acknowledge and agree that your use of the Software is entirely at your sole risk. No oral or written information or advice given by KyotoTech LLC or its representatives shall create a warranty.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KYOTOTECH LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, AFFILIATES, SUCCESSORS, AND ASSIGNS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, REGARDLESS OF THE CAUSE OF ACTION OR THEORY OF LIABILITY, INCLUDING BUT NOT LIMITED TO CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY.
This limitation of liability applies to, but is not limited to, damages arising from:
- Data loss or destruction caused by the Disk Cleanup functionality, including loss of files, documents, media, source code, databases, backups, or any other data
- Loss of revenue, profits, business, or anticipated savings resulting from data deletion, system instability, or any other use of the Software
- System damage or instability caused by the deletion of cache files, log files, or other system files
- Inaccurate system metrics or decisions made based on information displayed by the Software
- Application malfunction caused by the deletion of cache files required by third-party applications
- Inability to use the Software or any loss of functionality
- Procurement of substitute software or services
- Unauthorized access to or alteration of your data or transmissions
- Interaction with third-party software, operating system updates, or hardware
- Any other matter relating to the Software, regardless of whether KyotoTech LLC has been advised of the possibility of such damages
Maximum Liability
In any event and notwithstanding any other provision of these Terms, the total cumulative liability of KyotoTech LLC for all claims arising out of or related to these Terms, the Software, or your use of the Software shall not exceed zero United States dollars (USD $0.00), reflecting the fact that the Software is provided free of charge.
Essential Basis of the Agreement
You acknowledge that KyotoTech LLC has offered the Software free of charge in reliance upon the limitations of liability and disclaimers of warranty set forth herein, and that these provisions form an essential basis of the agreement between the parties. KyotoTech LLC would not provide the Software without these limitations.
10. Indemnification
You agree to defend, indemnify, and hold harmless KyotoTech LLC, its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or in connection with:
- Your download, installation, or use of the Software
- Data loss or file deletion caused by the Disk Cleanup functionality
- Decisions made based on system metrics or information displayed by the Software
- Your violation of these Terms
- Your violation of any applicable law, regulation, or third-party rights
- Claims by third parties arising from your use of the Software, including but not limited to claims related to data loss, system damage, or business interruption
- Your failure to maintain adequate backups of your data
- Any modifications you make to your system based on information provided by the Software
This indemnification obligation shall survive the termination of these Terms and your use of the Software.
11. Intellectual Property
All intellectual property rights in the Software, including but not limited to source code, compiled binaries, architecture, algorithms, user interface design, icons, graphics, documentation, and trade names, are owned exclusively by KyotoTech LLC and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
Your license grants you the right to use the Software as specified in these Terms; it does not transfer ownership of any intellectual property. No rights are granted by implication, estoppel, or otherwise, except as expressly set forth in these Terms.
The names "KisoStats," "Kiso," and "KyotoTech" and associated logos and marks are trademarks of KyotoTech LLC. You may not use these marks without prior written authorization.
12. Termination
Termination by You
You may terminate this agreement at any time by uninstalling the Software and ceasing all use.
Termination by KyotoTech
We may terminate your license immediately and without prior notice if:
- You breach any provision of these Terms
- You reverse-engineer, decompile, or attempt to derive the source code of the Software
- You redistribute the Software without authorization
- You use the Software in a manner that could harm KyotoTech LLC or its reputation
Effect of Termination
Upon termination:
- All rights granted under your license terminate immediately
- You must cease all use of the Software and delete all copies
- Sections relating to Disclaimer of Warranties, Limitation of Liability, Indemnification, Intellectual Property, Dispute Resolution, Class Action Waiver, and Governing Law shall survive termination indefinitely
13. Force Majeure
KyotoTech LLC shall not be liable for any failure or delay in performing its obligations under these Terms due to causes beyond its reasonable control, including but not limited to:
- Natural disasters (earthquakes, floods, typhoons, tsunamis)
- Pandemics or epidemics
- War, terrorism, civil unrest, or government actions
- Power outages, internet or telecommunications failures
- Cyberattacks or other malicious interference
- Changes in Apple's macOS platform, APIs, or policies
- Changes in applicable law or regulation
14. Dispute Resolution
Governing Law
These Terms shall be governed by and construed in accordance with the laws of Japan, without regard to conflict of law principles.
Jurisdiction
Any dispute, controversy, or claim arising out of or relating to these Terms or the Software shall be subject to the exclusive jurisdiction of the Kyoto District Court (京都地方裁判所) as the court of first instance.
Informal Resolution
Before filing any formal dispute, you agree to first contact us at support@kyototech.co.jp and attempt to resolve the dispute informally for at least thirty (30) days.
Language
These Terms are provided in English. In the event of any inconsistency between this English version and any translated version, the English version shall prevail.
15. Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
Waiver of Class and Collective Actions
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND KYOTOTECH LLC AGREE THAT ANY DISPUTES, CLAIMS, OR CONTROVERSIES ARISING OUT OF OR RELATING TO THESE TERMS OR THE SOFTWARE SHALL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY.
YOU EXPRESSLY WAIVE ANY RIGHT TO:
- Participate in a class action, collective action, or representative action against KyotoTech LLC
- Participate in class-wide arbitration or any arbitration involving joint or consolidated claims
- Act as a private attorney general or in any other representative capacity
- Combine your claim with the claims of any other person or entity
Jury Trial Waiver
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND KYOTOTECH LLC WAIVE ANY RIGHT TO A JURY TRIAL FOR ANY DISPUTE ARISING OUT OF OR RELATING TO THESE TERMS OR THE SOFTWARE.
Opt-Out Right (U.S. Users)
If you are located in the United States, you may opt out of this Class Action Waiver by sending written notice to support@kyototech.co.jp within thirty (30) days of first accepting these Terms. Your notice must include your full name, email address, and a clear statement that you wish to opt out of the Class Action Waiver.
16. Changes to These Terms
KyotoTech LLC reserves the right to modify these Terms at any time without prior notice. We will post the updated Terms on our website and update the effective date. It is your responsibility to review the Terms periodically.
Your continued use of the Software after such changes constitutes your acceptance of the modified Terms. If you do not agree with the modified Terms, you must stop using the Software and uninstall it.
17. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent. If modification is not possible, the invalid provision shall be severed and the remaining Terms shall continue in full force.
18. Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and KyotoTech LLC regarding the Software and supersede all prior or contemporaneous communications, proposals, and representations, whether oral or written, regarding the Software.
No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision. KyotoTech LLC's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
